NIEP Terms of Service
Welcome to NIEP. NIEP products and services are provided by Neusoft Corporation (referred to as "we," "us," or "our").
These NIEP Terms of Service (the "Terms") are entered into between Neusoft Corporation and the organizational customer that uses NIEP (the "Customer" or "you"). Please read and understand these Terms carefully. By completing the configuration and authorization of the NIEP product or service, you indicate your agreement to these Terms.
1. Scope and Order of Precedence
These Terms apply to your and your authorized users' use of NIEP products or services, including mailbox connections, email sending and receiving, email security detection, and related administration functions. Provisions concerning Google Account connections and OAuth authorization apply only when the Customer enables the relevant function.
The product license scope, fees, deployment, service levels, support, maintenance, acceptance, data processing, and other matters may be separately addressed in an order, license agreement, service level agreement (SLA), or data processing agreement entered into between the Customer and Neusoft Corporation or an authorized partner.
If these Terms conflict with a commercial agreement validly executed by the parties, the commercial agreement will prevail. If the commercial agreement does not address a matter, these Terms will apply. This order of precedence does not affect any mandatory provision of applicable law.
2. Description of the Service
The Customer is responsible for organizing the use of NIEP and designating authorized users and their permissions. Authorized users may use NIEP within the scope authorized by the Customer.
Email services are provided by the email service provider selected by the Customer or by the Customer's self-hosted email system. NIEP connects to the relevant mailbox in accordance with the Customer's configuration and necessary authorization and provides email sending and receiving access, security detection, and administration functions. The email service itself is provided and maintained by the relevant email service provider or the Customer.
NIEP is an enterprise email security product that, depending on the deployment and configuration selected by the Customer, can connect to supported email services or email systems and provide email sending, receiving, or synchronization; virus and malicious-code detection; spam identification; malicious URL detection; policy controls; quarantine; alerts; auditing; investigation; and administration functions.
NIEP may use Google OAuth 2.0 and Gmail interfaces permitted by Google, including OAuth connections for IMAP and SMTP. Functions actually available depend on your license, deployment, administrator configuration, Google service status, and Google policies.
As technology, the product, and laws and regulations evolve, we may add to, upgrade, or make necessary adjustments to NIEP products or services. Any change, suspension, or termination affecting purchased functions, service periods, or service levels will be handled in accordance with these Terms and the relevant commercial agreement. We will give the Customer advance notice, as provided in the relevant agreement, of adjustments that materially affect the Customer's normal use.
Certain NIEP functions depend on third-party email or security detection services. The status of third-party services, interface changes, or technical limitations may affect the availability of relevant functions. We will take reasonably practicable measures to reduce the impact on the Customer's use.
3. Eligibility, Accounts, and Authorization
You must have the legal capacity and authorization necessary to accept these Terms and use the relevant Google Account.
The organizational customer is responsible for creating and managing users, assigning roles, maintaining account security, and ensuring that only authorized personnel access NIEP.
You must provide true, accurate, and complete information, appropriately protect credentials and devices, and promptly report unauthorized access or security incidents.
You authorize NIEP to access the relevant Google mailbox data in accordance with your configuration and these Terms. You do not need to provide your Google password to NIEP; authorization is completed through the Google OAuth page.
You may revoke authorization through NIEP or the Google Account permissions page. Functions that depend on the authorization will stop after revocation.
4. Acceptable Use
4.1 User and Administrator Access Permissions
Regular users may view only their own mailboxes. The organizational customer may configure administrator permissions based on its organizational structure and business needs. Organization Administrators may view or process managed mailboxes within the organizations or sub-organizations under their administration, and Super Administrators may view or process all managed mailboxes. All administrator access must be based on a lawful and specific business purpose and is subject to access controls and auditing.
4.2 Customer Administration Responsibilities
The organizational customer is responsible for:
- Providing users with sufficient, prominent, and understandable notice in accordance with applicable law, employment rules, internal policies, and Google policies;
- Obtaining authorization, consent, or another lawful basis from users or other data subjects where required;
- Following the principle of least privilege, granting permissions only to personnel who genuinely need them, reviewing permissions periodically, and revoking them promptly;
- Using administrator access only for enterprise email security, incident investigation, compliance, and organizational administration, and not for undisclosed monitoring, discrimination, harassment, or any other unlawful purpose; and
- Properly retaining authorization, permission-approval, and audit records and responding to users' lawful rights requests.
Neusoft Corporation reserves the right to restrict or discontinue the relevant capability where such access is not permitted by law or Google policies.
4.3 Prohibited Conduct
You must not, and must not permit others to:
- Use NIEP in violation of laws and regulations, regulatory requirements, third-party rights, Google policies, or these Terms;
- Access, intercept, monitor, disclose, modify, or delete any mailbox, system, or data without authorization;
- Use NIEP to send spam, malicious code, or phishing content; commit fraud, attacks, or harassment; or circumvent security controls;
- Damage, bypass, or interfere with NIEP's security mechanisms, access controls, quotas, logs, or technical restrictions;
- Reverse engineer, copy, rent, resell, or create derivative developments from NIEP without permission, except to the extent expressly permitted by applicable law and not capable of contractual exclusion; or
- Use NIEP or related data to develop a competing product or train undisclosed generalized, non-personalized, or cross-customer AI/ML models.
5. Personal Information Protection
Our access to, use, storage, sharing, protection, retention, and deletion of personal information in providing NIEP products or services are governed by the NIEP Privacy Policy.
Privacy Policy URL: [Final public URL].
NIEP's use and transfer of Google user data obtained through Google OAuth authorization will comply with the Google Workspace API User Data and Developer Policy, including the Limited Use requirements. We do not use Google user data to develop, train or improve generalized, non-personalized, or cross-customer artificial intelligence or machine learning models.
6. Customer Data and Feedback
You or the relevant rights holder retain rights in Customer Data. You grant Neusoft Corporation the limited right to process Customer Data to provide, protect, support, and improve the NIEP functions you use. This right is subject to these Terms, the NIEP Privacy Policy, and the agreements between the parties.
You may voluntarily provide product suggestions or feedback. Provided that Customer confidential information and Google user data are not disclosed, Neusoft Corporation may use the feedback to improve the product without any obligation to pay compensation.
7. Intellectual Property
Neusoft Corporation owns the applicable intellectual property rights in the NIEP software it independently develops and the related technologies, programs, code, documentation, and other materials. Intellectual property rights in third-party software, components, trademarks, or other content belong to the respective rights holders.
Except for licenses expressly granted in these Terms or another agreement executed by the parties, these Terms do not transfer any intellectual property rights. Names and marks such as Google, Gmail, and Google Workspace belong to their respective rights holders.
Without our permission, the Customer and its authorized users may not use Neusoft Corporation or NIEP trademarks, service marks, trade names, domain names, website names, corporate logos, URLs, or other brand identifiers.
The foregoing identifiers may not be used, alone or in combination, in trademark applications, domain-name registrations, or similar activities without authorization, and no person may expressly or impliedly represent to others that it possesses any ungranted right of use or other right in those identifiers.
8. Security and Cooperation
We implement security measures appropriate to the risks to protect NIEP. You must configure the product appropriately, promptly install applicable updates, restrict administrator permissions, monitor anomalous activity, and maintain the security of the deployment environment. The parties will cooperate as necessary regarding security incidents, vulnerability remediation, and regulatory requirements in accordance with their contracts and applicable law.
9. Service Changes, Suspension, and Termination
We may change NIEP for security, compliance, maintenance, or product improvement purposes. Where reasonably practicable and a change has a material adverse effect on the Customer, we will provide notice in accordance with the applicable agreement.
We may restrict, suspend, or terminate relevant functions to the extent permitted by the applicable agreement and law if you materially breach these Terms, create a security risk, fail to pay applicable fees, if required by law or regulation, or if Google or another third party discontinues the relevant service. In an urgent security situation, we may take necessary measures first and provide notice within a reasonable period.
After the Customer deletes the relevant Google mailbox configuration, authorization is revoked, or the service terminates, NIEP will stop accessing the relevant mailbox and will revoke and delete OAuth tokens and delete the relevant email data in accordance with the NIEP Privacy Policy and the applicable customer agreement. Retention periods and exceptions for de-identified audit logs are governed by the NIEP Privacy Policy.
10. Warranties and Disclaimers
To the maximum extent permitted by applicable law, except as expressly provided in a written agreement between the parties, NIEP is provided on an "as is" and "as available" basis. We do not warrant that the service will always be uninterrupted or entirely error-free, that all defects will be corrected, that it will meet all requirements of the Customer and authorized users, that it will identify or block every threat, or that it will remain compatible with all third-party services. These Terms do not affect any warranty that cannot lawfully be excluded or limited.
Email security detection may produce false positives or false negatives. Organizational customers should establish backup, business continuity, manual review, and incident response mechanisms appropriate to their risks and should not rely on NIEP as their sole security control.
Under no circumstances will NIEP be liable for an inability to access the service, service interruption, leakage, delay, suspension, or error of information or data, or the failure or delayed provision of the service caused by a network connection failure, power failure, strike, labor dispute, riot, uprising, civil disturbance, fire, flood, storm, explosion, force majeure, war, government action, an order of an international or domestic court, a hacking attack, a technical adjustment by a network operator, temporary government control, or any other cause beyond reasonable control.
We may change NIEP for security, compliance, maintenance, or product improvement purposes. New functions may be unstable during testing, and except as expressly provided by law, we cannot and do not warrant the stability or other performance of functions or services during a testing period.
11. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, goodwill, or data. This exclusion does not apply to liability arising from willful misconduct or gross negligence, infringement of intellectual property rights, breach of confidentiality obligations, breach of personal information protection obligations, or liability that may not be limited by law.
Neusoft Corporation's aggregate liability cap under these Terms, and the circumstances in which that cap does not apply, are governed by a commercial agreement validly executed by the parties.
12. Indemnification
To the extent permitted by applicable law and provided for in a commercial agreement between the parties, if a third-party claim results from the Customer's unlawful use of NIEP, unauthorized access to a third party's mailbox, breach of these Terms, or infringement of a third party's rights, the Customer will bear the corresponding responsibility and cooperate in addressing the claim. The specific indemnification mechanism and procedures are governed by the agreement between the parties.
13. Updates to These Terms
We may update these Terms to reflect changes in the product or in legal or compliance requirements and will identify the latest effective date on the public page. Changes that have a material adverse effect on existing customers will be notified as required by the applicable agreement or law. To the extent permitted by law, your continued use of NIEP after the changes take effect constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China. Any dispute arising out of or in connection with these Terms shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with the arbitration rules of CIETAC effective at the time the application for arbitration is filed. The arbitral award is final and binding on both parties.
15. Miscellaneous
If any part of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
A party's failure to exercise a right immediately does not constitute a waiver of that right.
Neither party may assign these Terms without the other party's prior written consent, except for a lawful succession in connection with a corporate reorganization, merger, acquisition, or asset transfer, subject to applicable law and Google policies.
Section headings are for convenience only and do not affect the interpretation of these Terms.
